Terms of Service

Welcome to Locals Club, operated by Hellion Studios, LLC ("Locals Club," "we," "us"). These Terms of Service govern your use of our mobile apps, merchant apps, and website (collectively, the "Service").

Accepting these Terms

By creating an account or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you don't agree, don't use the Service.

Who can use Locals Club

You must be at least 13 years old. To act on behalf of a business, you must be authorized to bind that business.

Your account

• Keep your login credentials confidential.
• You're responsible for activity that happens under your account.
• Verified-local status requires your stated address to match your device location at signup; misrepresenting your location to unlock offers you're not entitled to is a violation of these Terms.

Offers and redemptions

Offers on Locals Club are provided by third-party merchants. We don't set the price, terms, or fulfillment — the merchant does. When you redeem an offer, you're transacting with the merchant, not with us. We facilitate the discount and the record, not the sale.

If an offer is dishonored or a merchant refuses to accept a valid QR, please let us know — we take those reports seriously and will investigate. Refunds, however, are between you and the merchant per their standard policy.

For merchants

By connecting Square to Locals Club, you authorize us to read your business data as described in the OAuth consent screen and our Privacy Policy. You agree to:

• Honor any offer you publish on the platform during its published window.
• Pay the platform commission (currently 3.5% of redeemed value) monthly.
• Not use Locals Club to promote content that violates our acceptable-use standards (illegal products, deceptive offers, harassment, etc.).

Merchant billing is handled via Stripe. Failed payments are retried on a published schedule; unresolved balances after 60 days may result in suspension of your offers pending payment.

Prohibited use

Don't:

• Reverse engineer, scrape, or automate the Service.
• Attempt to redeem the same offer multiple times through fraud, shared accounts, or fake identities.
• Circumvent verification (spoofed GPS, VPNs to fake locations, etc.).
• Use the Service to harass or defraud other users or merchants.

Termination

You can delete your account at any time from the app settings. We may suspend or terminate accounts that violate these Terms, without notice for severe violations. For merchant accounts, termination doesn't waive unpaid platform commissions accrued through the effective date.

Disclaimers

The Service is provided "as is." We don't guarantee that any particular offer will be available, that any offer will be honored (though we work hard to keep merchants accountable), or that the app will be free of bugs or interruptions.

Limitation of liability

To the maximum extent permitted by law, Locals Club is not liable for indirect, incidental, or consequential damages. Our total liability to you for any claim relating to the Service is limited to the greater of $100 or the amount you paid us in the 12 months preceding the claim (which for most locals is $0 — the app is free).

Governing law

These Terms are governed by the laws of the State of Florida. Any dispute will be resolved in the state or federal courts located in Hillsborough County, Florida.

Changes

When we update these Terms we'll update the "Last updated" date. Material changes will be surfaced in-app before they take effect. Continued use after changes take effect means you accept the updated Terms.
